IPO被否企業3年內不得借殼上市

日前大陸證監會官網以問答形式表示，對於重組上市類交易（俗稱借殼上市），企業在IPO被否決後至少應運行3年才可籌劃重組上市；對於不構成重組上市的其他交易，將加強信息披露監管。這意味著，IPO被否企業三年內不得借殼上市。與此同時，股票發行註冊制授權決定期限擬再延長兩年。
大陸證監會表示，將區分交易類型，對標的資產曾申報IPO被否決的重組項目加強監管：對於重組上市類交易（俗稱借殼上市），企業在IPO被否決後至少應運行3年才可籌劃重組上市；對於不構成重組上市的其他交易，將加強信息披露監管，重點關注IPO被否的具體原因及整改情況、相關財務數據及經營情況與IPO申報時相比是否發生重大變動及原因等情況。證監會將統籌滬深證券交易所、證監局，通過問詢、實地核查等措施，加強監管，切實促進上市公司質量提升。
此外，證監會在《首次公開發行股票並上市管理辦法》第三十九條規定：股票發行申請未獲核准的，自中國證監會作出不予核准決定之日起6個月後，發行人可再次提出股票發行申請。 (新聞來源：南方日報)
