茂碩電源近2億人民幣收購印刷線路板資產

停牌超過三個月的茂碩電源17日晚間發佈公告，公司擬收購印刷線路板資產，並募集配套資金，同時推出限制性股權激勵計畫。公司股票已於18日複牌。
公告顯示，茂碩電源擬向方笑求、藍順明分別收購其持有的方正達27.5%股權，合計55%股權，交易價格為1.92億元人民幣，其中，本次交易對價的84.3%，即1.62億元人民幣，將以上市公司非公開發行股份的方式支付；剩餘15.7%，即3009.6萬元人民幣，將以配套融資募集的現金支付。
據悉，方正達主營業務是生產銷售印刷線路板，產品主要應用於節能照明領域，並逐漸向智慧移動終端領域延伸。目前的主要產品包括單面FPC板及雙面FPC板，此外還生產部分單、雙層PCB。 茂碩電源表示，方正達所在行業前景廣闊，且資產品質良好，運作規範，在FPC細分行業LED節能照明應用領域份額領先，具備較強的核心競爭力和可持續盈利能力，本次交易完成後，上市公司的資產品質、業務規模、核心競爭力及持續盈利能力將得到較大幅度提升。 (新聞來源：百能網)
