長方照明擬5億控股LED下游公司

停牌三個月之久的長方照明今日終於公佈了重組草案，公司擬以現金及發行股份的方式購買康銘盛60%股權，交易對價為5.28億元人民幣，並募集配套資金。根據方案顯示，長方照明將以現金方式支付7,920萬元人民幣；以向交易方發行股份的方式支付交易對價中的4.488億元人民幣。與此同時，還擬向實際控制人鄧子長等發行股份募集配套資金7,920萬元人民幣。發行價格均為RMB12.31元/股。據悉，康銘盛是一家專業從事LED移動照明應用產品研發、生產、銷售的企業，其產品被廣泛應用於各種戶外休閒、消防、石油石化、燃氣檢修、工礦企業等場所。銷售網路覆蓋全國多數省市自治區，產品遠銷40個國家和地區。長方照明表示，此次交易完成後，LED移動照明應用將成為公司新的利潤增長點，公司將向下延伸LED行業產業鏈，佈局LED移動照明應用市場。同時，公司還將借助康銘盛完善的海內外行銷網路，快速鋪設行銷管道，擴充海內外的市場佔有率。(來源：每日經濟新聞)
